Some Clarification and Updates on PPP Forgiveness

Many of you have been funded with the PPP and are now faced with questions of properly using the loan and preparing for forgiveness. Previously, we have shared some of our thoughts and would like to reaffirm most of them to you … with a few refinements.

We also have a few bits of new developments to share. That said, please don’t trust this document to be a complete tome on the many developments happening weekly on various fronts. And, as always, speak to us or any other advisor you might rely upon to clarify ambiguities. We do not have all of the information yet, so our guidance may change as new updates are released, but we will give it our reasonable best shot.

1. There has been a bit more clarification about the rules related to retention of employees and who counts and does not count for a business to be eligible based on the full headcount requirement. If you have extended a written offer to recall a furloughed or laid off employee without reduction in salary or work hours, and that employee declines to come back, you are off the hook. That loss of that employee does not count against your headcount requirement. However, unless you fill that seat with another person, it does reduce the amount of money that will be forgiven because it will lower your payroll costs. 2. We still maintain, based upon the wording of the law, that expenses must be both incurred and paid during the eight-week forgiveness period. That means paying bills that were owed, even if qualified expenses, that relate to periods before or after the so-called “covered period” are not likely to be forgiven.

3. Many of you have been concerned about the certification you were required to give that the “current economic uncertainty” of the COVID-19 pandemic made your PPP loan “necessary to support (your) ongoing operations.

As it stands currently, May 14 is the day the window closes for companies to return the money with no penalties if they, in retrospect, do not believe the loan is “necessary to support their ongoing operations.”

Each business must evaluate, based upon their unique circumstance, what constitutes “uncertainty” and “necessary.” One thing is certain: Playing games with these funds will not work in your favor. Don’t prepay a year’s rent. It won’t work, and it may indicate your certification was fraudulent. Keep in mind that the money should be primarily used for the purpose that Congress specified: Keeping your labor in place.

4. Experts have suggested that you create a timeline or other narrative that supports your thinking of why the PPP was necessary. Our suggestion is to document and timestamp your reasons for taking the PPP loan before May 14 so that if you are ever questioned you can explain your current reasoning. In addition, it is probably smart for a company to do a cash flow, make notes about lost business, customers not paying, decrease in revenue. While still unclear, we don’t think people have to demonstrate being on the verge of bankruptcy to be able to certify. They do, however, need to document the flags indicating that business-as-usual was jeopardized, as well as existing burdens on the business, even if the impact cannot be exactly determined. Just think about it and write down your thoughts. Your advisors can help you with preparing a good set of documentation in case you are asked later.

5. The Main Street Lending Program still has not been implemented. The Fed has issued a series of FAQs that explain their intentions. The program will be expanded to include applicants that borrow a minimum of $500,000. (The previous minimum loan amount was $1 million.) The maximum loan amount is computed using a multiple of EBITDA (earnings before interest, taxes, depreciation and amortization). If you have been a company that loses money before depreciation, you probably are not qualified for this loan. Talk to us or your other advisors for more details.

6. So many have been waiting for the SBA to make EIDL applications available. They closed the opportunity to file new applications on April 15. While the SBA continues to process applications previously submitted on a first-come, first-serve basis, only agricultural business are able to submit new applications at this time. Don’t count on EIDL being available to you at all for a while if you are not in Ag.

1 Ha habido un poco más de aclaración sobre las reglas relacionadas con la retención de empleados y quién cuenta y no cuenta para que una empresa sea elegible en función del requisito de personal completo. 2. Aún mantenemos, según la redacción de la ley, que los gastos deben ser incurridos y pagados durante el período de perdón de ocho semanas. 4. Los expertos han sugerido que cree una línea de tiempo u otra narrativa que respalde su pensamiento de por qué era necesario el PPP. 5.El programa de préstamos de la calle principal aún no se ha implementado. La Fed ha emitido una serie de preguntas frecuentes que explican sus intenciones.
